Terms of Service

These Terms of Service ("Terms") are an agreement between you and Hunan Weiyan Machinery Technology Co., Ltd. ("we", "us") governing your use of OPC Console (the "Service"). By accessing or using the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of an organization, you confirm you are authorized to bind that organization, and "you" includes the organization.

1. The Service

OPC Console is an AI-assisted operations console for brands. It helps your team manage product information, generate content drafts, run automated safety checks, approve content, publish approved content to accounts you connect (such as TikTok, Shopify or Amazon), and view performance data. The Service always requires a human approval before content is published.

2. Eligibility and accounts

• You must be at least 18 years old and use the Service for business purposes.
• Accounts are created by invitation from your organization's administrator. You must provide accurate information and keep your password and two-factor authentication device secure.
• You are responsible for all activity under your account. Tell us immediately at support@weiyancn.com if you suspect unauthorized access.

3. Connected platforms

• You may connect only accounts that you own or are authorized to manage.
• When you connect a third-party platform, you remain bound by that platform's terms and policies. For TikTok this includes the TikTok Terms of Service, Community Guidelines and Music Usage Confirmation.
• Before each post, you choose the privacy and interaction settings and expressly consent to the upload. You can disconnect a platform at any time.
• Third-party platforms are not controlled by us. We are not responsible for their availability, changes to their APIs, or actions they take on your account.

4. Your content

• You keep all rights in the content you upload or create with the Service ("Your Content").
• You grant us a limited, non-exclusive licence to host, process, transmit and display Your Content solely to provide the Service to you, including sending it to AI model providers and to the platforms you choose to publish to.
• You confirm you have all rights needed for Your Content (including music, images, trademarks and people appearing in it) and that it does not infringe anyone's rights or violate law or platform rules.

5. AI-generated content

Drafts produced by AI may be inaccurate, incomplete or unsuitable. Automated safety checks reduce but do not eliminate risk. You are responsible for reviewing and approving everything before it is published, including product claims, pricing, and disclosure of commercial or promotional content as required by law and platform rules.

6. Acceptable use

You must not use the Service to:

• post content that is illegal, deceptive, infringing, hateful, sexually explicit, or otherwise violates the rules of the destination platform;
• send spam, manipulate engagement, impersonate others or copy content from other creators without permission;
• access accounts you are not authorized to manage, or collect data about other platform users;
• probe, attack, overload, reverse-engineer or circumvent the security of the Service;
• resell or provide the Service to third parties without our written consent.

7. Fees

Fees, if any, are set out in a separate order form or agreement between your organization and us. If that agreement conflicts with these Terms, that agreement prevails.

8. Our intellectual property

The Service, including its software, design and documentation, belongs to us or our licensors. We grant you a limited, non-transferable right to use it during your subscription in accordance with these Terms. Feedback you give us may be used without obligation to you.

9. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms, if required by law or a platform, or to protect the Service or other users. On termination, we will delete your data as described in the Privacy Policy; you may request an export before that.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any sales, reach or performance results.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 12 months before the claim arose.

12. Indemnity

You will defend and indemnify us against claims arising from Your Content, your use of connected platforms, or your breach of these Terms.

13. Governing law and disputes

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. Disputes will be resolved by the competent courts of that jurisdiction, unless your separate agreement with us provides otherwise.

14. Changes

We may update these Terms. We will post the new version on this page and, for material changes, notify you by email or in the Service before they take effect. Continued use after that means you accept the updated Terms.
